These Terms of Use govern access to and use of the Spendstream corporate website at www.spendstream.co.uk (the Website).

Please read these terms before using the Website. By using it, you agree to these terms. If you do not agree, you should not use the Website.

1. About us

2. What these terms cover

These terms apply only to use of the public corporate Website.

They do not govern:

  • the purchase, issue, redemption or use of a gift card;
  • an end user's use of a Spendstream-powered rewards programme or white-label website;
  • access to or use of the Spendstream API or developer services; or
  • services supplied by Spendstream to a client, partner or supplier.

Those activities are governed by the applicable programme terms, gift-card terms, API terms or signed commercial agreement.

3. Changes to these terms and the Website

We may update these terms to reflect changes to the Website, our business or the law. The date at the top shows when they were last updated. If you continue to use the Website after updated terms take effect, the updated terms will apply to that use.

We may change, remove or update Website content at any time. We do not promise that any particular content or feature will remain available.

4. Access and availability

The Website is made available free of charge. We aim to keep it available and accurate, but we do not guarantee uninterrupted, secure or error-free access. We may suspend, withdraw or restrict all or part of the Website for operational, security, legal or business reasons.

You are responsible for arranging your own access to the Website and for ensuring that anyone who accesses it through your connection understands these terms.

5. Permitted use

You may view, download and print reasonable extracts from the Website for your own lawful personal or internal business use. You may share links to public Website pages.

You must not use the Website:

  • in breach of any applicable law or regulation;
  • fraudulently, deceptively or in a way that infringes another person's rights;
  • to introduce malicious code, interfere with operation or security, probe vulnerabilities, or obtain unauthorised access;

  • to impersonate Spendstream or suggest a commercial relationship, approval or endorsement that does not exist; or

6. Intellectual property

Spendstream and its licensors own, or are licensed to use, the intellectual property rights in the Website and its content, including its text, software, designs, graphics, trade marks, logos, video and other materials. Those rights are protected by law.

The limited permission in section 5 does not transfer any intellectual property rights. You must not alter a downloaded extract, remove a rights notice, or use an image, video, graphic or case study separately from its accompanying context without permission. “Spendstream” and the Spendstream logo may not be used as branding without our prior written consent.

7. Website information is not a contractual offer

The Website provides general information about Spendstream and its services. Website content, demonstrations, case studies, implementation estimates, reward rates, brand availability, pricing indications and commercial examples are not a binding offer, commitment, warranty or guarantee.

Any services supplied by Spendstream, including scope, charges, service levels, implementation arrangements and commercial outcomes, are governed only by a separate written agreement. Brand catalogues, reward rates, commissions, discounts and third-party availability can change.

Website content is not legal, regulatory, financial, tax or other professional advice and should not be relied on as such. You should obtain appropriate advice for your circumstances.

8. Accuracy and reliance

We take reasonable care when preparing Website content, but it may not always be complete, current or free from error. Results described in case studies or illustrative statistics are specific to their context and do not promise equivalent results for another organisation.

You are responsible for evaluating whether information on the Website is suitable for your intended purpose before relying on it.

9. Enquiries and confidential information

Sending an enquiry or booking a demonstration does not create a client, supplier, partnership, agency or advisory relationship.

Please do not send confidential, commercially sensitive or personal information through the Website unless it is reasonably necessary for your enquiry. We will handle personal data in accordance with our Privacy Policy, but an unsolicited submission does not create a broader duty of confidentiality unless we have agreed one in writing.

The Website may link to third-party websites or services, including Calendly, LinkedIn and websites belonging to partners or suppliers. Links are provided for convenience or context. Unless we expressly say otherwise, we do not control third-party websites and are not responsible for their availability, security, content, terms, privacy practices or services.

A link, reference or integration does not by itself make Spendstream responsible for the third party. You should review the third party's terms and privacy information before using its service.

11. Linking to the Website

You may link fairly and lawfully to a public Website page, provided you do not damage our reputation, suggest an association or endorsement that does not exist, or present the Website within a frame. We may ask you to remove a link where these conditions are not met.

12. Viruses and security

We use reasonable measures to protect the Website, but we do not guarantee that it will be free from viruses or other harmful material. You should use your own security software and safeguards.

You must not knowingly introduce malicious material, attempt unauthorised access, carry out a denial-of-service attack or otherwise compromise the Website or connected systems. We may report suspected unlawful activity to the relevant authorities.

13. Our responsibility to you

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

If you use the Website for business purposes

To the fullest extent permitted by law, we exclude implied warranties, conditions and representations relating to the Website. We will not be liable for loss of profit, revenue, business, anticipated savings, goodwill, opportunity or data, or for indirect or consequential loss, arising from use of or inability to use the Website or reliance on its content.

If you use the Website as a consumer

We are responsible for loss or damage that is a foreseeable result of our breach of these terms or failure to use reasonable care and skill. We are not responsible for loss that is not foreseeable, for business loss, or for loss caused by circumstances outside our reasonable control. Nothing in these terms affects your mandatory consumer rights.

14. Privacy and cookies

Our Privacy Policy explains how we use personal data. Our Cookie Policy explains how the Website uses cookies and how you can manage your choices. Using the Website does not, by itself, constitute consent to non-essential cookies.

15. Suspension and enforcement

If you breach these terms, we may restrict or block your access, take reasonable technical or legal steps to protect the Website and our rights, and report unlawful conduct where appropriate.

16. General

If any provision of these terms is held to be unlawful or unenforceable, the remaining provisions will continue to apply. A delay in enforcing a right is not a waiver of that right. No person other than you and Spendstream has a right to enforce these terms.

17. Governing law and courts

These terms and any non-contractual dispute relating to them are governed by the law of England and Wales.

If you use the Website for business purposes, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may bring proceedings in the courts applicable under your mandatory consumer rights, including the courts of the part of the UK in which you live where applicable.
